Any engagement between Forthwell Labs and a client is governed by a separate written agreement (such as a proposal, statement of work, or master services agreement). In case of conflict between these Terms and that agreement, the engagement agreement controls.

3. Intellectual Property

The Site, its content, and Forthwell Labs' underlying frameworks, methods, and tooling are the property of Forthwell Labs. Bespoke deliverables produced during an engagement are owned by the client as defined in the applicable engagement agreement; Forthwell Labs retains its pre-existing and reusable frameworks, know-how, and tooling.

4. Confidential Materials

Audits, proposals, and other materials shared via password-protected links are confidential and intended only for the named recipient. Do not share access credentials or the contents of those materials without written permission.

5. Disclaimers

The Site is provided "as is" without warranties of any kind. Example engagements and success categories describe the types of outcomes our work targets; actual results depend on your systems, data, team, and execution and are not guaranteed.

6. Limitation of Liability

To the fullest extent permitted by law, Forthwell Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site. Liability related to any engagement is governed by the applicable engagement agreement.

7. Third-Party Services

The Site and our engagements may involve third-party tools and services. Forthwell Labs does not control and is not responsible for the content, policies, or availability of those third parties.

8. Changes

We may update these Terms from time to time. Continued use of the Site after changes constitutes acceptance of the updated Terms.
